ARTICLE 14 CHANGES IN CHURCH POLICIES
14.01 Church Policies.
Certain policies may be adopted by the Council or by the Members from time to
time and may be incorporated as a part of these By Laws, by reference. Even if
so incorporated, they may be changed by the Council or by the Members as
ordinary items of business at any meeting where such action is properly before
the assemblage, without following the procedures required to amend these
By-Laws.
ARTICLE 15 INDEMNIFICATION
15.01 Indemnification of Council Members.
The Church shall be required to indemnify its Council members and the Director
of the Vocational Ministry Training Program in accordance with the
non-exclusive provisions established in NPCL 721-26, as amended July 23, 1987,
and thereafter, from any and all expenses arising out of any and all demands,
claims, or causes of action either third party or derivative. Such
indemnification shall not be limited by any applicable insurance purchased by
the Church.
ARTICLE 16 FISCAL YEAR
16.01 Fiscal Year.
The fiscal year of this corporation shall end on December 31 of each calendar
year.
ARTICLE 17 ADOPTION AND AMENDMENTS
17.01 Adoption of By-laws.
These by-laws shall become effective immediately upon adoption by a two-third
vote of a quorum of the Members at a special meeting called for that purpose.
17.02 Amendments.
The Council shall prepare such amendments as are deemed necessary to be
incorporated into these by-laws and submit them to the Members at a Special
Congregational Meeting called for that purpose or at the annual congregational
meeting.
17.03 Required Vote.
Changes to these by-laws may be made only upon the affirmative vote of
two-thirds of the Members in attendance at any congregational meeting that has
been called to order after the Clerk has declared the presence of a quorum.
